FOR THE DESIGN, CONSTRUCTION, REHABILITATION, MAINTENANCE, OPERATION, FINANCING, EXPANSION, AND MANAGEMENT OF THE WATER SUPPLY AND SANITATION FACILITIES AND SERVICES OF TWD IN THE CITY OF TANAUAN:
The Tanauan Water District (TWD), a government-owned and controlled corporation created pursuant to Presidential Decree No. 198, has received an unsolicited proposal for the design, construction, rehabilitation, maintenance, operation, financing, expansion and management of the water and wastewater system of TWD in the City of Tanauan under a Joint Venture Agreement with the TWD (the “Unsolicited Proposal”). By virtue of Board Resolution No. 18 dated 5 June 2018 the TWD accepted the Unsolicited Proposal and a Joint Venture Selection Committee (JVSC) was created to further evaluate the Unsolicited Proposal. After evaluation and subsequent negotiations, the JVSC recommended the issuance of a Certificate of Successful Negotiation to the TWD Board, which approved the said recommendation by virtue of Board Resolution No. 25. This Unsolicited Proposal will be subjected to a Modified Competitive Challenge in accordance with the Revised Guidelines and Procedures for Entering into Joint Venture (JV) Agreements between Government and Private Entities prepared and issued by the National Economic Development Authority (the “2013 NEDA JV Guidelines”).
Consequently, TWD invites interested Private Sector Participants (PSPs) to challenge the Unsolicited Proposal by submitting comparative proposals for the above-captioned Project. TWD is in search of a joint venture partner from the private sector to undertake and implement the Project. The winning PSP shall contribute the capital investment for and the expertise in undertaking the Project within the Service Area, which consists of the Forty-Eight (48) Barangays of the City of Tanauan, Province of Batangas, as well as the other barangays within the Province of Batangas which may eventually form part of the Service Area (the “Service Area”), subject to the detailed terms and conditions stated in the Tender Documents.
Any interested entity, partnership, corporation, joint venture or consortium from the private sector with at least sixty percent (60%) interest or outstanding voting capital stock belonging to citizens of the Philippines may organize themselves to participate as a PSP in this competitive challenge.
Interested PSPs shall be subject to pre-qualification in accordance with Volume 1 of the Tender Documents. Volume 1 of the Tender Documents, which includes the Instructions to Interested Private Sector Participants as well as the Eligibility Requirements and Forms, is available for a non-refundable fee of Five Hundred Thousand Pesos (Php 500,000.00) in the form of manager’s check issued by a universal bank payable to the Tanauan Water District.
The deadline for the submission of Eligibility Requirements and duly accomplished Forms shall be on October 8, 2018 at exactly 9:00 a.m. (Philippine Standard Time). Only PSPs who are determined by the TWD-JVSC to be eligible shall be allowed to purchase Volume II of the Tender Documents.
TWD-JVSC shall thereafter issue Volume II of the Tender Documents only to pre-qualified PSPs upon payment of the non-refundable fee in the amount of One Million Pesos (Php 1,000,000.00) in the form of a manager’s check issued by a universal bank, payable to the Tanauan Water District.

Without any conditions or incurring any liability to any affected PSPs, TWD reserves, at any time prior to the signing of the Joint Venture Agreement, the right to reject any or all proposals, waive any minor defects therein, decide or resolve matters arising from the proceeding, proceed with direct negotiation and/or accept the offer it deems most advantageous to TWD and the government. TWD assumes no responsibility whatsoever to compensate or indemnify any PSP for expenses incurred in the preparation of the comparative proposals.
